Caliber wars. Brand loyalty. \u201cMy setup is better than yours.\u201d You know the drill.  But every once in a while, something pops up that\u2019s actually worth paying attention to.<\/p>\n\n\n\n<p>That\u2019s exactly what caught the attention of Tuber <a href=\"https:\/\/www.youtube.com\/c\/Hegshot87\" target=\"_blank\" class=\"clickTracking\" campaign=\"beretta-ruger-stock-takeover\" title=\"Is Beretta Trying to Take Over Ruger?\">Hegshot87,<\/a> who recently broke down a pretty unusual situation brewing between Sturm, Ruger &amp; Co. and Beretta.<\/p>\n\n\n\n<figure class=\"wp-block-embed is-type-video is-provider-youtube wp-block-embed-youtube wp-embed-aspect-16-9 wp-has-aspect-ratio\"><div class=\"wp-block-embed__wrapper\">\n<iframe loading=\"lazy\" title=\"Ruger Never saw THIS Coming-- The Takeover has Begun\" width=\"500\" height=\"281\" src=\"https:\/\/www.youtube.com\/embed\/w0FJ6gJg1Tg?feature=oembed\" frameborder=\"0\" allow=\"accelerometer; autoplay; clipboard-write; encrypted-media; gyroscope; picture-in-picture; web-share\" referrerpolicy=\"strict-origin-when-cross-origin\" allowfullscreen><\/iframe>\n<\/div><figcaption class=\"wp-element-caption\">Do you think Beretta is trying to take over Ruger?<\/figcaption><\/figure>\n\n\n\n<p><\/p>\n\n\n\n<p>And right out of the gate, he framed it like so:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cVery rarely do you see disputes like this where one company is coming in, infiltrating another, and basically forcing them to listen to what they have to say.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>That\u2019s the story <a href=\"https:\/\/nypost.com\/2026\/04\/02\/business\/beretta-accused-of-threatening-war-in-takeover-row-with-us-based-ruger\/\" target=\"_blank\" class=\"clickTracking\" campaign=\"beretta-ruger-stock-takeover\" title=\"Is Beretta Trying to Take Over Ruger?\">here<\/a>. Not a partnership. Not a friendly collaboration. Something closer to a<a href=\"https:\/\/www.coltforum.com\/threads\/beretta-taking-over-ruger.426378\/\" target=\"_blank\" class=\"clickTracking\" campaign=\"beretta-ruger-stock-takeover\" title=\"Is Beretta Trying to Take Over Ruger?\"> corporate pressure play.<\/a> According to Hegshot87\u2019s breakdown, Beretta has been quietly buying shares of Ruger, enough to become a serious player.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cBy the time they do their SEC filings\u2026 Beretta owns 7.7%\u2026 now they own 9.95%. They take it right up to that threshold and stop right there. But now they are the biggest single shareholder in Ruger.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>And that\u2019s where things get interesting.  Because Ruger saw it coming and slammed the brakes.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cThey put in like this what they call a poison pill\u2026 if any company or person gets over\u2026 10%, Ruger will flood the market with additional shares.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>Translation: try to take more control, and Ruger dilutes your influence.  So Beretta stopped just shy of that line\u2026 for now.  But according to Hegshot87, they\u2019re not exactly playing small ball:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cBeretta\u2019s pushing to own 30% of the company.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>Now you\u2019ve got a situation where a foreign manufacturer is positioning itself inside one of the most recognizable <a href=\"https:\/\/gunsamerica.com\/digest\/1000-yards-500-rifle-rugers-american-predator\/\" target=\"_blank\" class=\"clickTracking\" campaign=\"beretta-ruger-stock-takeover\" title=\"Is Beretta Trying to Take Over Ruger?\" data-wpil-monitor-id=\"4357\">American gun<\/a> companies.  And depending on how you look at it, that\u2019s either smart business\u2026 or something else entirely.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-see-also-saint-victor-9mm-pdw-review-tiny-fast-mean\">SEE ALSO: <a href=\"https:\/\/gunsamerica.com\/digest\/saint-victor-9mm-pdw-review\/\" target=\"_blank\" class=\"clickTracking\" campaign=\"beretta-ruger-stock-takeover\" title=\"Is Beretta Trying to Take Over Ruger?\">SAINT Victor 9mm PDW Review: Tiny, Fast, Mean<\/a><\/h2>\n\n\n\n<p>Hegshot87 leans skeptical.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cOn the outside looking in, you have a foreign gun company\u2026 going after one of the most iconic in the United States\u2026 saying, \u2018Hey, your sales are weak\u2026 we could do it better.\u2019\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>To be fair, Ruger hasn\u2019t been immune to the industry swings.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cTheir overall profit was like way down\u2026 but they\u2019re still a billion-dollar company.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>That\u2019s part of what may have made them an attractive target\u2014or opportunity\u2014depending on your perspective.  But the way Beretta went about it didn\u2019t sit well.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cRuger\u2026 said, \u2018Hey, you did this in a very sneaky way. We don\u2019t like it.\u2019\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>And it didn\u2019t stop at stock purchases.  Beretta reportedly tried to push board nominees, including one with ties to its own corporate structure, which raised red flags.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cOne of Beretta\u2019s nominees\u2026 sits on one of your company\u2019s boards\u2026 you\u2019re essentially gaining inside knowledge\u2026 it violates the Clayton Act.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>Hegshot87 didn\u2019t mince words on that angle either:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cIt essentially is like the modern-day Trojan horse.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>So where does this go?  That\u2019s the million-dollar question.  Maybe Beretta keeps pushing.  Maybe Ruger gives up a little ground.  Maybe nothing happens at all.<\/p>\n\n\n\n<p>Hegshot87 sees a middle-ground outcome as most likely:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cThe most likely outcome is Ruger gives in\u2026 one or two board seats\u2026 some influence\u2026 but the majority of the stake is held with Ruger.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>And there\u2019s a wildcard here that actually matters to <a href=\"https:\/\/gunsamerica.com\/digest\/subway-to-gun-owners-refrain-from-openly-displaying-firearms\/\" target=\"_blank\" class=\"clickTracking\" campaign=\"beretta-ruger-stock-takeover\" title=\"Is Beretta Trying to Take Over Ruger?\" data-wpil-monitor-id=\"4360\">gun owners<\/a>:  Could this shake things up in a good way?<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cWill that push them into other markets\u2026 guns that we haven\u2019t quite seen\u2026 it could have been the spark that they needed all along.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>That\u2019s the upside scenario.  Better products. More innovation. Fresh ideas.  But not everyone is going to be on board with how we got here.<\/p>\n\n\n\n<p>Hegshot87 made his position clear:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cI don\u2019t like the idea of a <a href=\"https:\/\/gunsamerica.com\/digest\/five-foreign-made-guns-americans-cant-get-but-i-want\/\" target=\"_blank\" class=\"clickTracking\" campaign=\"beretta-ruger-stock-takeover\" title=\"Is Beretta Trying to Take Over Ruger?\" data-wpil-monitor-id=\"4359\">foreign gun company\u2026 coming in and telling an American<\/a> gun company what they should be doing.\u201d<\/p>\n<\/blockquote>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-see-also-sig-m400-forge-packs-premium-parts-for-999\">SEE ALSO: <a href=\"https:\/\/gunsamerica.com\/digest\/sig-sauer-m400-forge-review\/\" target=\"_blank\" class=\"clickTracking\" campaign=\"beretta-ruger-stock-takeover\" title=\"Is Beretta Trying to Take Over Ruger?\">SIG M400 Forge Packs Premium Parts for $999<\/a><\/h2>\n\n\n\n<p>At the same time, he doesn\u2019t see a full takeover happening:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cA full-blown Beretta takeover\u2026 I don\u2019t see that happening at all.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>So now we\u2019re left with a pretty rare situation in the firearms world, one that\u2019s not about politics, legislation, or even the usual product hype cycle.  This is business strategy. Influence. Control.<\/p>\n\n\n\n<p>And maybe, just maybe, the future direction of one of the biggest <a href=\"https:\/\/gunsamerica.com\/digest\/firearms-trainer-pat-mcnamara-clarifies-stance-ubcs-waiting-periods\/\" target=\"_blank\" class=\"clickTracking\" campaign=\"beretta-ruger-stock-takeover\" title=\"Is Beretta Trying to Take Over Ruger?\" data-wpil-monitor-id=\"4358\">names in American firearms<\/a>.<\/p>\n\n\n\n<p><strong><em>So what do you <a data-wpil-monitor-id=\"4356\" href=\"https:\/\/gunsamerica.com\/digest\/cnn-don-lemon-bashes-protestors\/\" target=\"_blank\" class=\"clickTracking\" campaign=\"beretta-ruger-stock-takeover\" title=\"Is Beretta Trying to Take Over Ruger?\">think<\/a>? Is Beretta making a smart move here, or crossing a line? Does Ruger need a shake-up, or should they slam the door completely?
